Description

The Canadian Donation and Transplantation Research Program (CDTRP) was founded with the goal of bringing together our country’s diverse donation and transplantation research communities, integrating expertise in the health, natural, and social sciences. It is a national network that offers research support, infrastructure, and collaboration opportunities in all areas of organ, tissue, and cell donation and transplantation.

Our vision is that every wish to donate is fulfilled and transplantation is transformed from a treatment to a lasting and sustainable cure. 

Our mission is to drive advances in Canadian donation and transplantation research and mobilize knowledge. 

The Board of Directors is the legal authority of the CDTRP. Board members act in a position of trust for the community and are responsible for the effective governance of the organization. Board members have legal responsibilities set out in the legislation under which CDTRP is incorporated, the Canada Not-for-Profit Corporations Act. We are seeking applications from individuals with experience in law for not-for-profit organizations, and particularly welcome those who also have lived experience (e.g. donor family, living donor, organ, tissue, or stem cell transplant recipient, family member of a transplant recipient).

Requirements of Board membership include: 

  1. Commitment to the work of CDTRP 
  2. Knowledge and skills in one or more areas of Board governance activities: policy, finance, programs, personnel, advocacy for the organization 
  3. Willingness to dedicate time to serve the organization 
  4. ttendance at Board meetings (quarterly) 
  5. Attendance at Annual General Meeting 
  6. Support of special initiatives or events 
  7. Support of and participating in resource development 

Term and appointment process 

Board members are elected by the Executive Members. Board Members serve for a four-year term, renewable up to eight years of service. Board Members may be released (1) at the end of their elected term; (2) by resigning; (3) according to the bylaws. 

General Duties 

A Board Member is fully informed on organizational matters and participates in the Board’s deliberations and decisions in matters of policy, finance, programs, personnel, and advocacy for the organization. 

Board Members: 

  1. Approve, where appropriate, policy and other recommendations received from the Board, its standing committees, and senior staff 
  2. Oversee the bylaws, all Board policies, the Board’s structure, and enact amendments as necessary 
  3. Support the fulfilment of the Board’s fiduciary responsibilities, including but not limited to reviewing and approving, where appropriate, the annual financial statements 
  4. Review and approve, where appropriate, the annual budget and activity plan 
  5. Approve the hiring and release of the Executive Director, advise on their employment contract, and participate in performance evaluation  
  6. Mentor Executive members 
  7. Support and participate in resource development activities 
  8. Assist in developing and maintaining positive relations among the Board, membership, staff, partners, and the community to enhance CDTRP’s mission
