Job Description
Duties:
- Serve as an independent, strategic advisor to the Board, CEO, and Executive Team, applying sound judgment and objective scrutiny in support of effective governance and decision making.
- Provide strategic leadership as a member of the Executive Team, contributing legal and strategic insight to corporate wide initiatives and policy development that advance organizational priorities.
- Lead and oversee all legal services including commercial contracting, major capital projects, labour and employment, litigation, Indigenous related matters, privacy, cybersecurity, and regulatory proceedings and corporate transactions.
- Oversee the Office of the Corporate Secretary and ensure effective corporate governance practices across the Board and management.
- Provide oversight and stewardship of a risk based, scalable enterprise compliance governance framework.
- Provide enterprise oversight of compliance with NERC Mandatory Reliability Standards (MRS) and other regulatory obligations, ensuring robust and sustainable compliance processes.
- Navigate complex legal and regulatory risks associated with operating as a Crown corporation and regulated utility.
- Build strong, productive relationships with regulators, government partners, Indigenous groups, and other external stakeholders.
- Lead, develop, and inspire a high performing team of lawyers, compliance professionals, and support staff responsible for legal services, compliance oversight, and governance support.
- Drive alignment across business groups by modernizing legal and compliance processes and improving service delivery.
- Manage relationships with external law firms to ensure timely, high quality, cost effective legal services.
- Communicate legal, commercial, and strategic risks clearly and concisely to internal and external audiences.
- Foster a culture of collaboration, shared purpose, and excellence across Legal and Compliance teams.
- This role operates in a highly visible public interest environment, balancing commercial, regulatory, political, and reliability considerations.
Qualifications:
- A minimum of 15 years of experience as a practicing lawyer, in a complex, regulated organization; inhouse experience strongly preferred.
- Member in good standing with the Law Society of British Columbia (or eligible).
- At least 10 years of senior management experience providing legal advice on highrisk and strategic matters, ideally within the energy sector.
- Strong background in legal strategy, enterprise risk management, compliance governance and regulatory engagement.
- Demonstrated ability to build credibility and influence with Boards, executives, regulators, government partners,
- Indigenous groups, and external stakeholders.
- Proven leadership and changemanagement capability in unionized and nonunionized environments.
- Excellent communication skills with the ability to translate complex legal and compliance issues into clear practical advice to diverse audiences.
- Sound judgment, creativity, and resilience in addressing strategic and time sensitive and ambiguous issues.
- Experience designing and implementing long term strategies and integrated organizational solutions.
- Experience working on legal or governance matters involving Indigenous Nations, Crown–Indigenous relations, or reconciliation related agreements is considered an asset.
- Proven ability to lead multidisciplinary teams and manage both internal and external legal and compliance resources.
- Knowledge of electricity sector legislation, regulatory frameworks, and governance requirements.
- Experience working within Crown corporations, public sector or government environments.

Flexible work model role definitions
Our four role types identify the degree of flexibility an employee could have to work from home based on the type of work they do. The flexibility for an individual job is up to the manager for each position and the operational requirements. Employees also have the right to work fulltime from the office if they prefer. All of our roles require at least some inperson time.
IBEW/Field – No option to work from home
Resident – Works primarily (4+ days per week) in the office.
Hybrid – May be able to work from home up to 3 days per week.
Remote – Works from home 4+ days per week
