Toronto Community Housing (TCHC) is the largest social housing provider in Canada and the second largest in North America, wholly owned by the City of Toronto and operating on a non-profit basis. Reporting jointly to the Chief Executive Officer and the Chair of the Board, the Corporate Secretary is a Board-appointed officer and senior governance leader who enables the Board of Directors to fulfil its fiduciary duties and ensures that Board directions and shareholder expectations are effectively implemented and respected across the organization. The Corporate Secretary leads TCHC’s governance framework, including by-laws, mandates, and policy development, oversees the integrity of management reporting to the Board, and ensures compliance with statutory obligations under the Ontario Business Corporations Act (OBCA). This role also acts as the principal governance liaison with the City of Toronto as a shareholder, supports effective Board and Committee operations, leads planning for Annual General Meetings, and provides impartial advice to the Board Chair, Committee Chairs, and CEO on governance, compliance, and strategic priorities.

The Corporate Secretary is expected to uphold and demonstrate TCHC’s values and its commitments to equity, diversity, inclusion and accessibility.

The ideal candidate is an accomplished governance professional with progressive experience in governance, legal, or corporate affairs, including in a senior governance or Corporate Secretary role supporting a Board of Directors. A GPC.D (Governance Professionals of Canada) or IQP (Chartered Governance Institute of Canada) designation is required. You bring a strong understanding of the Ontario Business Corporations Act (OBCA), public-sector governance, and shareholder accountability, and you have demonstrated success working collaboratively with Boards, senior executives, and other interested parties. An exceptional communicator, you are adept at drafting governance documents and Board materials, and you lead with credibility, integrity, and the ability to inspire and develop a high-performing governance team. Collaborative, discreet, and strategic, you serve as a trusted advisor while maintaining the highest standards of governance excellence.

Salary range is $160,977.24 - $193,172.69 and will be commensurate with qualifications and experience.
