SUMMARY

The Legal Counsel provides legal advisory services to Canada Lands Company Limited and its subsidiaries (collectively, the “Company”), including to their respective Boards of Directors, Senior Management Teams and committees.

Although the Legal Counsel supports the Company as a whole, the primary areas of focus for this particular Legal Counsel role are the following: (i) supporting the teams at the Old Port of Montreal (“OPM”) and Montreal Science Centre (“MSC”) with all legal non-litigation matters affecting OPM and MSC, including, but not limited to, contracts, construction matters, RFPs, group and event bookings, licenses, leases, IP matters, and exhibit agreements; (ii) supporting the Quebec Real Estate team with all of their non-litigation legal needs, including, but not limited to, acquisitions, sales, servicing agreements, construction matters, easements, licenses and leases; and (iii) processing Access to Information Act and Privacy Act requests that are received in French or that involve documents that are in French.

KEY FUNCTIONS

LEGAL DEPARTMENT

  • Negotiates and drafts contracts and commercial agreements.
  • Identifies legal issues and prepares solutions.
  • Works with the Chief Legal Officer & Corporate Secretary to develop and implement business objectives, policies and strategic mandate to ensure compliance with federal, provincial, and local laws and all contractual obligations.
  • Analyzes, interprets, advises and provides recommendations on legal matters affecting the Company.
  • Assists with the coordination of the Company’s legal disputes in provincial and federal courts, arbitration and/or administrative tribunals.
  • Provides legal advice to client departments regarding real estate law, business law, intellectual property and other commercial legal issues.
  • Reviews and evaluates agreements to protect the Company’s interests and to ensure compliance with all applicable laws, regulations and Company policies.
  • Coordinates with external legal counsel to assist in achieving the Legal Department’s objectives, including managing external legal costs.
  • Prepares template documents and contracts in consultation with client departments.
  • Works on special projects in support of the Legal Department, as assigned from time to time.
  • Maintains a high degree of discretion and confidentiality at all times.
  • Assists in the creation, implementation and enforcement of corporate policies and procedures.
  • Assists in providing ethical and conflict of interest advice to employees.
  • Assists with the handling and processing of Access to Information Act and Privacy Act requests.
  • Assists with other legal or corporate secretarial functions as may be assigned by the Chief Legal Officer & Corporate Secretary from time to time.
  • Provides training to Company employees in English and French regarding legislative requirements and Company policies and procedures.

QUALIFICATIONS AND EXPERIENCE

  • Law Degree required.
  • Must be licensed by a Canadian provincial or territorial law society to practice law in Canada and familiar with the Civil Code of Quebec.
  • At least two years of broad legal experience, including prior in-house experience or broad commercial experience with a private firm.
  • Knowledge of computer skills, including electronic legal research.
  • Experience in real estate law is preferred.
  • Industry knowledge/experience is preferred.
  • Bilingualism (English/French) required.
