24-01-A — CBA Bylaw Amendment – Board Composition
WHEREAS a new CBA governance structure came into effect in September 2017, with a Board of Directors to be selected on the basis a matrix of geography, diversity, skills and other demographic characteristics;
WHEREAS, in May 2023, twelve Branches and the CCCA proposed that the CBA Board composition be changed, with each Branch and the CCCA choosing a representative on the CBA Board, to give the CBA Board increased knowledge of members and CBA activity in the Branches and CCCA;
WHEREAS participation of Indigenous lawyers in CBA leadership enhances relationships with Indigenous members in the CBA and benefits decisions made for all CBA members as we continue work on reconciliation;
WHEREAS the CBA Board should reflect the diversity of the profession as defined in CBA Bylaw No. 1;
BE IT RESOLVED THAT:
- CBA Bylaw No. 1 be amended to change the composition of the Board of Directors, as outlined in Annex A;
- Board members serving when this resolution is adopted will complete the term of office in place when they were elected.
- Section 33 comes into effect upon adoption for positions where the term of office ends on or before 31 August 2024.
- Sections 29 and 33 come into effect on 1 September 2024 where a Board member’s position becomes vacant or the term of office ends after 31 August 2024.
- Section 33.1 comes into effect on 1 September 2024.
